Additional Terms and Conditions for Dropbox Sign Subscriptions

The following additional terms apply to Your purchase of Dropbox Sign (“Vendor”) services:

  1. Term and Termination
    Services start once provisioned on the marketplace. You may cancel the Services through the marketplace so long as no Service commitments are active hereunder (i.e. You or one or more of Your Users are employing any active Services). You may only terminate the Service if there are no existing term commitments for Services. If You or a User terminates its use of a Service prior to the expiration of the term commitment for the selected service, You will remain responsible to Ingram Micro for all remaining and accrued charges for such Service pursuant to the selected term commitment.

    All Services are available for minimum commitment of one (1) year. Services will auto renew for an additional one (1) year, unless You cancel prior to the end of the then current term

  2. Fees
    You agree to pay the fees and charges for the Services as outlined in the registration process and that appear on the Site, as may be amended from time to time. If You or Your customer exceeds the usage limits applicable to the Service Subscription, You agree to pay for the fees and charges for such over usage and understand that any renewals will default to a higher usage tier. For any extension of a subscription term or the provisioning of a Service upgrade, the then-current price will apply, unless otherwise mutually agreed in writing by the Parties. Ingram Micro, may, from time to time, in its sole discretion, change the fees it charges for the Service. Any increase in the fees will take effect at the beginning of User’s next subscription term. Ingram Micro will notify You of any such changes by updating the Site or sending notice by e-mail or regular mail.

  3. Terms of Sale and Service/Use
    All purchases are subject to the sales terms set forth at Cloud Politics and service setup information, including but not limited to pricing, (where applicable) set forth in the marketplace. For the avoidance of doubt, notwithstanding the presence or acceptance by Ingram Micro of Your order, such will be for administrative purposes only and the parties agree that the governing terms and conditions will be those set forth at Cloud Politics unless otherwise agreed to in writing by Ingram Micro and You.
    All Terms of Use or Service as established by Vendor and as set forth at Dropbox Sign Terms https://www.hellosign.com/terms Shall apply to Your resale activity and to Your User customers, including but not limited to Your indemnity of Vendor based upon Your acts or omissions and including indemnity of Vendor for any infringement claims arising from the combination by You or Users of Vendor’s intellectual property with Your or any third party’s intellectual property. Reseller agrees to provide each User with terms of use and gain their acceptance.

  4. License types
    As described in the applicable product descriptions, licenses will be sold as Signature Request Based Billing. You are responsible for understanding this license type and clearly communicating their terms to Your customers.

    Licenses are based on a maximum number of Signature Requests over a given period of time. If the maximum number is reached, the customer is automatically upgraded and billed for the next tier of usage and any automatic renewal will default to the highest tier of usage reached during the previous term. A “Signature Request” is the transaction that takes place when an end user initiates a new signature process or makes a corresponding call to the Dropbox Sign APIs.

    In order to use the Dropbox Sign APIs, an end user is given a unique API credentials (an “API Key”) via the registration process. You are responsible for payment for all activity associated with Your customers’ API Key, regardless of whether You or Your customer initiates or is aware of such activity.

    Add On License. Additional functionality or integration with another product can be purchased. Product descriptions will specify any specific requirements or limitations relating to specific Add On License purchases (for example, some Add On Licenses are not compatible with the lowest cost Essential API licenses)."
